The agreement between you and Buildsby for using the platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Buildsby ("Buildsby," "we," "us," or "our"), the operator of the website located at https://buildsby.com (the "Platform" or "Service"). By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
PLEASE READ SECTION 9 (GOVERNING LAW & DISPUTE RESOLUTION) CAREFULLY, AS IT AFFECTS HOW DISPUTES BETWEEN YOU AND BUILDSBY ARE RESOLVED.
1.1 Minimum Age. The Platform is intended for users who are at least eighteen (18) years old. By using the Platform, you represent and warrant that you are at least 18 years of age. If we become aware that an account belongs to a person under 18, we may suspend or terminate it.
1.2 Institutional or Organizational Users. If you are accessing the Platform on behalf of a school, university, employer, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" will refer to both you individually and that entity.
1.3 Restricted Persons. You may not use the Platform if you are barred from receiving services under applicable law, or if you have previously been suspended or removed from the Platform by us.
2.1 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.2 Credential Confidentiality. Access to Buildsby is through your Google account. You are solely responsible for maintaining the confidentiality and security of that Google account and of any Buildsby session token issued to your device, and you agree not to share access with any third party. Loss of control of your Google account may result in loss of control of your Buildsby account.
2.3 Responsibility for Account Activity. You are solely responsible for all activities that occur under your account, whether or not authorized by you. You agree to notify Buildsby immediately at support@buildsby.com of any unauthorized use of your account or any other breach of security.
2.4 No Liability for Unauthorized Access. Buildsby is not liable for any loss or damage arising from your failure to comply with this Section 2, including your failure to safeguard your credentials.
2.5 One Account Per Person. Unless otherwise authorized in writing by Buildsby, each individual may maintain only one active account.
As between you and Buildsby, you retain full and complete ownership of all right, title, and interest in and to the original code, source files, designs, graphics, text, media, documentation, and other intellectual property that you create, upload, submit, publish, or otherwise make available through the Platform (collectively, "User Content"). Nothing in these Terms transfers ownership of your User Content to Buildsby. Buildsby does not claim, and will not assert, any ownership interest in your User Content.
By submitting, uploading, hosting, linking, or otherwise making User Content available on or through the Platform, you grant Buildsby a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, cache, copy, display, publicly perform, index, frame, embed, reproduce, format, resize, and create derivative works of your User Content solely to the extent reasonably necessary to: (a) operate, provide, maintain, and improve the Platform; (b) display and showcase your project to other users and visitors, including on directory, search, and discovery pages; (c) generate thumbnails, previews, screenshots, and similar derivative representations of your project for formatting and display purposes; and (d) promote and market the Platform, including featuring your project in promotional, editorial, or marketing materials (e.g., "Project of the Week" features, social media posts, or recruiting showcases).
This license terminates with respect to specific User Content when you delete that User Content or close your account, except that: (i) Buildsby may retain copies as required by law or for legitimate backup, archival, fraud-prevention, or legal-compliance purposes; and (ii) the license survives with respect to any User Content already incorporated into promotional materials distributed prior to deletion, to the extent removal is not reasonably practicable.
By submitting any project or User Content to the Platform, you represent and warrant that:
(a) you own or have obtained all necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license in Section 3.2;
(b) your User Content, and Buildsby's use of it as authorized under these Terms, does not and will not infringe, misappropriate, or violate any third party's patent, copyright, trademark, trade secret, moral right, right of publicity or privacy, or any other intellectual property or proprietary right;
(c) your User Content does not incorporate any proprietary logos, trademarks, brand assets, or trade names of a third party in a manner likely to cause confusion or suggest false endorsement, sponsorship, or affiliation, unless you have obtained explicit authorization to do so;
(d) your User Content complies with all applicable laws and with the Acceptable Use Policy set forth in Section 4; and
(e) you have the right and authority to grant the licenses set out in this Section 3.
Excluding User Content, all right, title, and interest in and to the Platform, including its software, design, branding, trademarks, logos, and underlying technology, are and remain the exclusive property of Buildsby and its licensors. No rights are granted to you in the Buildsby name, logo, or branding except as expressly authorized in writing.
If you submit feedback, suggestions, or ideas about the Platform, you grant Buildsby a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose without compensation or attribution to you.
You agree that you will not, and will not permit any project, script, or code you host or link through the Platform to:
4.1 Contain, distribute, execute, or facilitate the distribution of malware, ransomware, spyware, trojans, cryptocurrency miners, botnets, or any other malicious, disruptive, or unauthorized code;
4.2 Engage in phishing, credential harvesting, social engineering, or the impersonation of any individual, brand, institution, or organization;
4.3 Conduct unauthorized network scanning, port scanning, vulnerability probing, denial-of-service attacks, or any other activity intended to test or breach the security of any system without express prior authorization;
4.4 Scrape, crawl, or access paywalled, access-restricted, or authenticated systems without authorization, or circumvent rate limits, technical access controls, or terms of service of third-party systems;
4.5 Host, display, or link to content that is unlawful, defamatory, obscene, pornographic, or that constitutes hate speech, harassment, or incitement to violence;
4.6 Collect, harvest, or process personal data from Platform visitors or third parties without adequate legal basis, disclosure, and consent, including through any linked project;
4.7 Operate command-and-control infrastructure, exfiltrate data without authorization, or otherwise use the Platform to further any unauthorized computer access under applicable computer-misuse laws;
4.8 Infringe any third party's intellectual property, publicity, or privacy rights;
4.9 Upload or link to content that violates export control, sanctions, or other applicable laws; or
4.10 Attempt to interfere with, disable, overburden, or impair the Platform's infrastructure, or attempt to gain unauthorized access to any part of the Platform, other accounts, or connected systems.
Buildsby reserves the right, but assumes no obligation, to monitor, review, filter, or remove any User Content, in whole or in part, at its sole discretion and without notice, for any actual or suspected violation of this Acceptable Use Policy.
5.1 No Vetting of Projects. YOU ACKNOWLEDGE AND AGREE THAT BUILDSBY DOES NOT REVIEW, AUDIT, TEST, CERTIFY, ENDORSE, OR GUARANTEE THE SAFETY, SECURITY, FUNCTIONALITY, LEGALITY, ACCURACY, RELIABILITY, OR PERFORMANCE OF ANY USER-SUBMITTED PROJECT, CODE, OR LINKED APPLICATION ("PROJECTS"). PROJECTS ARE CREATED AND HOSTED BY INDEPENDENT, THIRD-PARTY USERS, AND BUILDSBY EXERCISES NO CONTROL OVER THEIR CONTENT OR BEHAVIOR.
5.2 Visitor Risk Acknowledgment. ANY PERSON WHO VISITS, ACCESSES, DOWNLOADS, EXECUTES, INTERACTS WITH, OR OTHERWISE ENGAGES WITH A PROJECT LINKED FROM THE PLATFORM DOES SO ENTIRELY AT THEIR OWN RISK. BUILDSBY DISCLAIMS ANY AND ALL RESPONSIBILITY FOR ANY HARM, DATA LOSS, SECURITY BREACH, MALWARE INFECTION, FINANCIAL LOSS, OR OTHER DAMAGE ARISING FROM INTERACTION WITH ANY PROJECT.
5.3 Platform Provided "As Is." THE PLATFORM AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BUILDSBY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
5.4 No Advice. Nothing on the Platform constitutes professional, legal, financial, security, or technical advice, and no reliance should be placed on any Project as fit for production, commercial, or safety-critical use.
6.1 Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILDSBY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF BUILDSBY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDSBY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS ($100 CAD), OR (B) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO BUILDSBY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
6.3 Basis of the Bargain. You acknowledge that Buildsby has set its prices and offered the Platform, including any free tier, in reliance upon the limitations of liability and disclaimers of warranty set forth herein, and that these limitations are an essential basis of the bargain between you and Buildsby.
6.4 Jurisdictional Limits. Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such jurisdictions, the exclusions and limitations in this Section 6 apply only to the maximum extent permitted by applicable law, and nothing in these Terms limits any right or remedy you may have under consumer protection legislation that cannot lawfully be waived.
You agree to defend, indemnify, and hold harmless Buildsby and its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content or any Project you submit, host, or link; (b) your violation of these Terms, including the Acceptable Use Policy; (c) your violation of any applicable law or the rights of any third party, including intellectual property, privacy, or publicity rights; (d) any harm caused to a third party by your Project, including malware distribution, data loss, or unauthorized access; or (e) your access to or use of the Platform. Buildsby reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Buildsby's defense of such claims.
8.1 Right to Terminate or Suspend. Buildsby reserves the right, in its sole discretion and without prior notice or liability, to suspend, disable, restrict, or terminate your account, and to modify, disable, remove, or delete any Project or other User Content, at any time, including for a suspected violation of these Terms.
8.2 No Liability for Removal. Buildsby shall have no liability to you or any third party for any modification, suspension, or discontinuation of the Platform, or for the removal, disabling, or deletion of any account or User Content.
8.3 Effect of Termination. Upon termination, your right to access and use the Platform will immediately cease. Sections 3 (to the extent of the surviving license), 5, 6, 7, 9, and any other provision that by its nature should survive, will survive termination.
8.4 Voluntary Termination. You may delete your account at any time through your account settings or by contacting support@buildsby.com. Deletion of your account will result in the removal of your publicly displayed projects, subject to the residual rights described in Section 3.2.
9.1 Governing Law. These Terms and any dispute arising out of or related to them or the Platform shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
9.2 Venue. Subject to Section 9.3, you and Buildsby agree that the courts of the Province of Ontario, sitting in Toronto, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and each party attorns to the personal jurisdiction and venue of those courts.
9.3 Consumer Rights Preserved. Nothing in these Terms limits or waives any right, remedy, or forum available to you under mandatory consumer protection legislation of your province, state, or country of residence where that legislation does not permit such a waiver. Where such legislation applies, it prevails over this Section 9 to the extent of any conflict.
9.4 Informal Resolution First. Before commencing any formal proceeding, you agree to contact us at support@buildsby.com with a description of the dispute and to allow thirty (30) days for the parties to attempt to resolve it informally.
Buildsby may modify these Terms at any time by posting the revised version on the Platform and updating the "Last updated" date. Material changes will be communicated through reasonable means (e.g., email or in-Platform notice). Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
11.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Buildsby regarding the Platform and supersede all prior agreements.
11.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
11.3 No Waiver. Buildsby's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
11.4 Assignment. You may not assign or transfer these Terms without Buildsby's prior written consent. Buildsby may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
11.5 Force Majeure. Buildsby shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
